Terms of Service

These Terms of Service (“Terms”) govern your use of TruthVouch’s platform, APIs, and services. By accessing or using TruthVouch, you agree to these Terms.
1. Account & Registration
1.1 Account Creation
You must create an account to use TruthVouch. You agree to:
- Provide accurate, complete information
- Maintain confidentiality of login credentials
- Accept responsibility for all account activity
- Notify us immediately of unauthorized access
1.2 Account Termination
We may suspend or terminate your account if you:
- Violate these Terms
- Engage in illegal activities
- Abuse our systems or other users
- Fail to pay invoices (30-day notice)
You may terminate your account anytime by deleting it in Settings.
2. Services & Acceptable Use
2.1 What You Can Do
You may use TruthVouch to:
- Monitor AI language models for accuracy
- Generate governance policies for AI systems
- Verify content claims against your knowledge base
- Issue content certification certificates
- Analyze AI spending and compliance posture
2.2 What You Cannot Do
You agree not to:
- Use TruthVouch to create automated systems to scrape or reverse-engineer our service
- Test security vulnerabilities without written permission (use responsible disclosure instead)
- Use TruthVouch to monitor or surveil individuals without consent
- Resell TruthVouch access without authorization
- Upload copyrighted content you don’t own
- Attempt to access other customers’ data
3. Intellectual Property
3.1 Our IP
TruthVouch owns all intellectual property in:
- Our platform, APIs, SDKs, and documentation
- Algorithms, models, and machine learning systems
- Logos, trademarks, and brand materials
3.2 Your Content
You retain all rights to:
- Truth nuggets and knowledge base content you create
- Content you certify
- Data you provide to TruthVouch
You grant TruthVouch a license to use your content to provide and improve our service.
3.3 Feedback
If you provide feedback or suggestions, we may use them royalty-free without obligation.
4. Payment & Billing
4.1 Billing
- Subscription fees are due monthly or annually (you choose)
- Invoices issued on first day of each cycle
- Payment due within 30 days of invoice
4.2 Late Payment
If payment is overdue by 30 days, we may:
- Suspend your account
- Charge interest at 1.5% per month
- Refer debt to collections
4.3 Refunds
No refunds except for Service Level Agreement credits (see Section 7).
4.4 Price Changes
We may change pricing with 30 days’ notice. Price changes effective at your next billing cycle.
5. Data & Privacy
5.1 Your Data
You control your data. We process it according to:
- Your instructions
- Data Processing Agreement (if applicable)
- Privacy Policy
- GDPR regulations (if applicable)
5.2 Data Security
We maintain reasonable security controls including:
- Encryption at rest (AES-256) and in transit (TLS 1.3)
- Access controls and authentication
- Regular security audits and penetration testing
We cannot guarantee absolute security. You are responsible for:
- Protecting your API keys
- Choosing strong passwords
- Enabling multi-factor authentication
5.3 Data Retention & Deletion
We retain your data for the duration of your subscription plus 60 days (to process refunds and comply with law). After that:
- You may request deletion
- We delete within 30 days
- Some data may be retained for legal/compliance reasons
6. Limitations of Liability
6.1 “AS-IS” Service
TruthVouch is provided “AS-IS” without warranties of any kind, express or implied. We do not warrant that:
- The service will be uninterrupted or error-free
- Hallucinations will be detected with 100% accuracy
- The service will meet your specific needs
6.2 Disclaimer of Warranties
We disclaim all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
6.3 Liability Cap
Except for indemnification or breach of confidentiality, our total liability is limited to the amount you paid in the preceding 12 months.
We are not liable for:
- Lost profits, lost data, lost revenue
- Indirect, incidental, consequential damages
- Damages from third-party services or content
7. Service Level Agreement (SLA)
7.1 Uptime Guarantee
- Professional/Business: 99.5% monthly uptime
- Enterprise: 99.9% monthly uptime
- Excludes scheduled maintenance (announced 48 hours in advance)
- Excludes issues outside our control (ISP, DDoS, Acts of God)
7.2 SLA Credits
If we miss uptime targets, you receive credits:
- 99.5% to 99.0%: 10% monthly fee
- 98.9% to 98.0%: 25% monthly fee
- Below 98%: 50% monthly fee
Credits are your sole remedy for uptime issues.
8. Indemnification
You agree to indemnify and hold harmless TruthVouch from:
- Claims arising from your use of the service
- Violations of these Terms
- Violations of applicable law
- Claims from third parties based on your content
9. Confidentiality
Each party agrees to:
- Keep the other’s confidential information confidential
- Use it only as needed to perform obligations
- Return or destroy it upon request
Exceptions:
- Information already publicly available
- Information independently developed
- Information required to be disclosed by law
10. Term & Termination
10.1 Term
These Terms begin when you create an account and continue until terminated.
10.2 Termination for Cause
Either party may terminate immediately if the other:
- Materially breaches these Terms and doesn’t fix it within 30 days
- Becomes insolvent or bankrupt
10.3 Effects of Termination
Upon termination:
- Your access to TruthVouch ends immediately
- Payment obligations remain
- Sections 3, 4, 5, 6, 8, 9 survive termination
11. Governing Law
These Terms are governed by California law (excluding conflict-of-law principles). Disputes are resolved in California courts.
12. Changes to Terms
We may modify these Terms anytime. Changes are effective:
- Immediately for new users
- 30 days after notice for existing users
Continued use means acceptance.
